This Sponsorship Agreement known hereafter as the “Agreement” is executed on 2nd November 2023 between “Sponsor” and BizBubble, also known hereafter as the “Sponsee.”
1. Sponsor Obligations
A description of the prizes and their terms are listed here for the winners which are agreed before entering the awards.

1. 1 The Sponsor agrees to deliver the prize listed here (where relevant – scroll to your business/prize).
1.2 The Sponsor agrees that the Sponsee will supply the winners the Sponsor’s contact details in order to claim their prize.
1.3 The winner agrees to claim/book in the prize by 30th April 2024.
1.4 The Sponsor agrees to deliver the prize by 30th June 2024.
1.5 If the prize is not claimed by 30th April, it is up to the discretion of the Sponsor as to whether they will deliver or not. They have no obligation to do so.
1.6 It is the responsibility of Sponsors to deliver Sponsor’s prizes and liase directly with the winner. BizBubble will not be held responsible for the delivery of the Sponsor’s prizes.
2. Sponsee Obligations
2.1 BizBubble agrees to deliver all relevant items listed on the Sponsorship page – https://bizbubble.co.uk/sponsor-bb-awards/
2.2 Delivery of the items listed above will be within the period the awards process is running. E.g 2nd November 2023 til 30th April 2024.
Within this time frame precise timings of delivery of items cannot be given. It will be up to the discretion of BizBubble as it will largely depend on marketing surrounding particular activities at the time.
3. Sponsor Trademarks and Materials
3.1 The Sponsor agrees to grant BizBubble the right to use the Sponsor’s trade names, logo, trademarks and company descriptions as provided in the Sponsors marketing materials.
The assets may be used in any medium of advertising or marketing materials solely in connection to the BizBubble Awards 2024.
3.2 The Sponsor agrees to offer the following materials for marketing and promotional purposes:

4. Indemnity
4.1 The Sponsor will indemnify, defend, and hold the Sponsee harmless from and against any claims relating directly or indirectly to, or arising out of, content posted on the Sponsor’s respective website, use of Sponsor materials, or use of Sponsor’s logos and trademarks.
5. Limitation of Liability
5.1 In no event shall either party be liable to the other party for any consequential, incidental, indirect, or punitive damages regardless of whether such liability results from breach of contract, breach of warranties, tort, strict liability, or otherwise.
6. Term and Termination
6.1 This Agreement will be valid for the period of 2nd November 2023 to 30th April 2024.
6.2 The Sponsee may terminate this Agreement at any time for any reason. In the event that the Sponsee terminates this Agreement for any reason other than Sponsor’s breach of Agreement, the Sponsee shall refund any fees received (if applicable) from the Sponsor.
6.3 The Sponsor may terminate this Agreement for breach of Agreement by the Sponsee after giving Sponsee at least ten (10) days prior written notice specifying the nature of the breach and giving the Sponsee at least ten (10) days to resolve such breach.
7. Miscellaneous
7.1 This Agreement will supersede any or all prior oral or written forms of understanding between the Sponsor and Sponsee. This Agreement may not be amended or modified except when one or both parties execute amendments in writing and amendments are signed by both parties.
7.2 This Agreement shall be governed by and executed in accordance with the laws of the United Kingdom.
